East Coast Scholars LLC is held harmless from the outcome of any interaction with an East Coast Scholars LLC contractor ("Tutor") that occurs outside of a scheduled Tutoring session. East Coast Scholars LLC makes no representations that its services will lead to any specific outcome, including but not limited to improvements in test scores or grades, admission to any educational institution, or any specific financial aid offer.

Non-Solicitation of Tutors and Staff

Governing Law; Choice of Forum

These Terms of Use and your use of the Service shall be governed and construed in accordance with the laws of the State of New York, exclusive of its conflicts of laws principles. You consent and submit to the sole and exclusive jurisdiction and venue of the state or federal courts of the State of New York for any action, suit, or legal proceeding arising out of or in connection with these Terms.

Arbitration

Except for claims that are solely equitable in nature — which may be pursued directly in court — all claims for breach of this Agreement not resolved by mutual written agreement shall be settled by binding arbitration before a single arbitrator under the rules of the American Arbitration Association. Arbitration shall take place in the state where East Coast Scholars LLC's principal offices are located at the time the dispute arises.

The parties shall mutually agree on an arbitrator; if they cannot, the arbitrator shall be appointed under the rules of the American Arbitration Association. Any award rendered by the arbitrator shall be conclusive and binding upon the parties and shall be accompanied by a written opinion stating the reasons for the award. This provision shall be specifically enforceable, and any arbitration decision may be filed under the Federal Arbitration Act or an equivalent state arbitration act as an award of record.

Each party shall bear its own expenses of arbitration; the costs of the arbitrator shall be shared equally. IN ALL CASES, EACH PARTY IRREVOCABLY WAIVES ANY AND ALL RIGHT TO DEMAND A TRIAL BY JURY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THESE TERMS OR THE PERFORMANCE OF EITHER PARTY.

Feedback

Any submissions you make to East Coast Scholars LLC — including comments, questions, suggestions, or materials (collectively, "Feedback") — through any communication channel will be treated as both non-confidential and non-proprietary. The Federal Arbitration Act, New York state law, and applicable U.S. federal law — without regard to conflicts of law provisions — govern these Terms. Foreign laws do not apply. Except for matters subject to arbitration, disputes relating to these Terms will be heard in courts located in Nassau County, New York.

If any provision of these Terms is deemed inconsistent with applicable law, that provision shall be interpreted to reflect the intentions of the parties, and the remaining Terms shall remain in full force. The failure of East Coast Scholars LLC to enforce any provision of these Terms shall not constitute a waiver of its rights. These Terms represent the entire agreement between you and East Coast Scholars LLC and supersede all prior negotiations, discussions, or agreements relating to the Service.

The following provisions shall survive any termination of these Terms: proprietary rights, disclaimer of warranties, representations made by you, indemnities, limitations of liability, and general provisions.
